AICLUDE Terms of Service

Welcome to AICLUDE. These Terms of Service ("Terms") govern your access to and use of the CLU AI Agent Platform and related services (collectively, the "Service") provided by AICLUDE Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

AICLUDE provides a platform for creating, managing, and interacting with AI agents. Our Service includes:

• AI Agent Management: Create and customize AI agents with unique personas and knowledge bases

• Conversation Services: Text and voice interactions with AI agents

• Group Channels: Collaborative spaces for multiple users

• Direct Messaging: Private communication between users

• Dashboard & Analytics: Usage tracking and performance insights

• API Access: Integration capabilities for external systems

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration

• Maintain the security of your password and account

• Promptly update your account information as needed

• Accept responsibility for all activities under your account

• Notify us immediately of any unauthorized use of your account

4. User Responsibilities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws

• Create, upload, or distribute harmful, offensive, or inappropriate content

• Generate content that infringes intellectual property rights

• Attempt to gain unauthorized access to any part of the Service

• Interfere with or disrupt the Service or servers

• Use AI agents to generate misleading, deceptive, or fraudulent content

• Share your account credentials with others

• Use automated means to access the Service without permission

5. User Content

You retain ownership of content you create using the Service ("User Content"). By using the Service, you grant us a limited license to process, store, and display your User Content as necessary to provide the Service.

You are solely responsible for your User Content. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

6. AI-Generated Content

The Service uses artificial intelligence to generate responses and content. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate

• AI responses should be used as reference material only

• You are responsible for reviewing and verifying AI-generated content before use

• We do not guarantee the accuracy or reliability of AI responses

7. Intellectual Property

The Service and its original content, features, and functionality are owned by AICLUDE and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written consent.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Termination

You may terminate your account at any time through the account settings. We may suspend or terminate your access to the Service:

• If you violate these Terms

• If required by law

• If we discontinue the Service

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AICLUDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless AICLUDE and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts in Seoul, Republic of Korea.

14. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on the Service. We will provide notice of material changes at least 30 days before they take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. General Provisions

• Severability: If any provision of these Terms is found invalid, the remaining provisions shall continue in effect.

• Waiver: Our failure to enforce any right or provision shall not constitute a waiver.

• Entire Agreement: These Terms constitute the entire agreement between you and AICLUDE regarding the Service.

• Assignment: You may not assign these Terms without our written consent.
